StrataBlox, Inc. (“StrataBlox”) provides the content on this website and any other StrataBlox websites you may access (collectively the “Site”) subject to the following terms and conditions (the “Terms”), which may supplement your company’s Usage Policies (or other client agreements with StrataBlox) (“Client Agreement”). StrataBlox may periodically change the Terms without notice to you, so please check back from time to time. Unless explicitly stated otherwise, any new features that augment or enhance the Site shall be subject to these Terms. By accessing and using this Site, you agree to these Terms. If you are a Network Member, you have agreed and are additionally subject to the Terms and Conditions of Network Membership, and any other additional agreements you have with StrataBlox (“Terms and Conditions”), and in the event of any conflict between these Terms and the Terms and Conditions, the latter shall control.

1. Description of Service

This Site provides a variety of resources and information for users to find, engage and manage expert networks (the “Services”). The Site does not provide medical, investment or legal advice, and no attorney-client relationship is created between users of the Services and StrataBlox or its licensors.

2. Network Member Content Disclaimer

Some of the content on this Site, including without limitation, the text, software, scripts, graphics, videos and the like (“Site Content”) is created and developed by Network Members and provided to StrataBlox under license for dissemination over the internet (“Network Member Content”). Network Member Content includes, among other things, syndicated content, reports, presentations and other related materials, and Network Member biographical and employment information. StrataBlox cannot guarantee and makes no representations as to the accuracy or quality of Network Member Content, all of which is offered “as is.” StrataBlox does not own, develop, endorse, and is not responsible for Network Member Content. The use of a company or entity name in Network Member biographical or employment information should not be construed as an express or implied endorsement by such company or entity of StrataBlox or an express or implied endorsement by StrataBlox of such company or entity. Network Members are not employees or under the supervision of StrataBlox. Network Members have agreed to be bound by the Terms and Conditions and have represented, among other things, that they will not disclose information that is subject to a confidentiality obligation or participate in StrataBlox’s network in violation of any agreements or duties owed to employers or other third parties. StrataBlox relies on the accuracy of these representations of the Network Member and does not necessarily seek independent verification.

3. Confidentiality Agreement

Network Members have agreed to and are bound by the non-disclosure provision of the Terms and Conditions. If you are not a Network Member, you agree not to disclose or attempt to use or personally benefit from any confidential information, as defined below, you learn on any StrataBlox platform that is a password protected website. This obligation shall continue until such time as the confidential Information has become publicly known through no action of your own. Confidential Information shall include: (i) the existence, title and description of any StrataBlox project; (ii) information about actual or potential business, investment or trading decisions or transactions of any StrataBlox client; (iii) any other confidential information of StrataBlox or its clients, and (iv) any intellectual property, including without limitation any trade secrets, know-how, or copyrighted information, of StrataBlox or its clients. If you are compelled by order of a court or other governmental or legal body (or have notice that such an order is being sought) to divulge any Confidential Information, you agree to promptly and diligently notify StrataBlox and cooperate fully with StrataBlox in protecting such information to the extent possible under applicable law.

4. Intellectual Property Rights

Site Content and the trademarks, service marks and logos contained therein (“Marks”) are owned by or licensed to StrataBlox, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Site Content may not be copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, uploaded, or otherwise exploited without the prior written consent of the respective owners.

5. StrataBlox

If you are a StrataBlox client user and access services through StrataBlox, the following terms will also apply:

You agree that your use of Services will be limited as set forth in your Client Agreement. You shall not allow any third party to access StrataBlox through your login.

The participation of specific Network Members or other experts with any profile information or data about Network Members (together, the “Network Member Information”) will be subject to your confidentiality obligations in your Client Agreement. You agree to process Network Member Information only for the purpose of using the Services in accordance with your Client Agreement, and for no other purpose, except as mutually agreed upon by you and StrataBlox in advance. You further agree to process any personal information StrataBlox provides to you in accordance with: (i) applicable privacy and data protection laws; and (ii) any restrictions imposed by StrataBlox, in writing and in advance, with respect to the processing of such personal information. You shall not share with, forward to, or otherwise allow any third party access to Network Member Information or data that you receive from StrataBlox, nor share any such information with your user teams other than the user team requesting the Project (and your compliance team for compliance review purposes, and your finance/operations team for invoicing/payment purposes), and you will not retain or use Network Member Information in any way inconsistent with the authorized purposes set forth in this Agreement, except to the extent expressly permitted by StrataBlox. You further agree that you shall not (i) reverse engineer Network Member Information, data, StrataBlox’s systems or any other confidential or proprietary information of StrataBlox for any purpose whatsoever; or (ii) support, authorize, or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape Network Member Information from StrataBlox emails, reports, or systems. You agree to purge all Network Member Information upon termination of your relationship with StrataBlox; provided, however, that you may retain copies of such information for archival purposes only, subject to your confidentiality and restricted use obligations hereunder.

You acknowledge that StrataBlox may leverage artificial intelligence and machine learning as part of the Services, including certain tools made available to you on StrataBlox’s portal, StrataBlox. You can access StrataBlox to obtain AI Outputs (such as transcripts, consultation summaries, queried results, etc.), which may be based upon publicly available information, StrataBlox library content, client content generated through StrataBlox and client’s content provided to StrataBlox, as applicable. In the event that a client’s custom content from its use of StrataBlox’s services is used as additional inputs by StrataBlox, it may be included in that client’s AI outputs, but not for other clients’ AI outputs. Use of StrataBlox and the AI Outputs are subject to your Client Agreement and these Terms.

AI Outputs may include suggested Network Members for the client to access through StrataBlox’s services. StrataBlox does not guarantee that any suggested Network Member will be available, and client’s engagement of a suggested Network Members may be further limited by your Client Agreement, client’s compliance settings and protocols, and StrataBlox’s compliance framework, and the project-specific assessment and Network Member opt-in, consistent with the Terms and Conditions.

You shall use StrataBlox in compliance with applicable laws, and not in a manner that: (i) infringes on any third party’s rights; (ii) automatically or programmatically extracts information or data from AI outputs; or (iii) would compete with StrataBlox or diminish use of StrataBlox services. AI output does not reflect the insights, views or opinions of StrataBlox. You will not (a) identify or quote Network Members or StrataBlox or attribute AI output to Network Members or StrataBlox, or (b) redistribute, disseminate, publish, or display the AI output, in whole or in part, to any third party.

You further acknowledge that AI is evolving quickly, and much is not known about how accurate it is or what biases it may present at this time. These AI tools, while designed to provide accurate and reliable outputs, may contain errors, inconsistencies, or outdated information. Ai Outputs should not be relied upon as a sole source of truth or fact and are provided “as-is” and “as available” without any warranties or guarantees of functionality or accuracy. You may use AI Output only for informational and business purposes and not as a substitute for professional or other advice. StrataBlox recommends you use the AI outputs as a starting point for further research and consultation with relevant material, experts, or authorities, including research conducted through StrataBlox.

YOUR USE OF StrataBlox OR ANY AI OUTPUT IS AT ITS SOLE RISK. NOTWITHSTANDING THESE TERMS OR IN YOUR CLIENT AGREEMENT, StrataBlox EXPRESSLY DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES, EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, OR GUARANTEES WITH RESPECT TO THE USE OF StrataBlox, AI OUTPUT, OR ANY OTHER AI TOOLS MADE AVAILABLE THROUGH THE SERVICES. StrataBlox SHALL NOT BE LIABLE FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN THE AI OUTPUTS OR FOR ANY DECISIONS, ACTIONS TAKEN, OR NOT TAKEN BY CLIENTS IN RELIANCE ON THE AI OUTPUTS.

StrataBlox does not store or process a client’s data to train a large language model, and StrataBlox is not building a custom AI model. StrataBlox is committed to leveraging only AI models with strong reputations and policies on privacy, data protection, and AI ethics. StrataBlox and its partners and subcontractors continually work to improve the functionality of the available AI tools and the accuracy of AI outputs. To the extent you provide data, questions, comments, suggestions or other feedback to StrataBlox about StrataBlox or otherwise indicates accuracy or value in certain queries, you agree that StrataBlox owns, and may use, such feedback with no additional compensation due to you or the client. StrataBlox may revise terms related to StrataBlox in its sole discretion. StrataBlox may elect to suspend or discontinue StrataBlox at any time in its sole discretion without notice.

6. To Report A Concern About Content On The Site

7. Copyright Policy

StrataBlox prohibits the posting of any information that infringes or violates the copyright rights and/or other intellectual property rights (including rights of privacy and publicity) of any person or entity. If you believe that your intellectual property right (or such a right that you are responsible for enforcing) is infringed by any content on the Site, please write to StrataBlox at the address shown below, giving a written statement that contains: (a) identification of the copyrighted work and/or intellectual property right claimed to have been infringed; (b) identification of the allegedly infringing material on the Site that is requested to be removed; (c) your name, address, and daytime telephone number, and an e-mail address if available; (d) a statement that you have a good faith belief that the use of the copyrighted work and/or exercise of the intellectual property right is not authorized by the owner, its agent, or the law; (e) a statement that the information in the notification is accurate, and, under penalty of perjury, that the signatory is authorized to act on behalf of the owner of the right that is allegedly infringed; and (f) the signature of the intellectual property right owner or someone authorized on the owner’s behalf to assert infringement of the right. StrataBlox will process notices of alleged infringement which it receives and will take appropriate action as required by the Digital Millennium Copyright Act (DMCA) 17 U.S.C. 512(c)(3). U.S. law provides significant penalties for submitting such a statement falsely. Under appropriate circumstances, persons who repeatedly submit infringing or unlawful material will be prohibited from posting further submissions. You understand that your access to the Site will result in the collection, use and storage of your information which is subject to our Privacy Policy. Through your access to the site you consent to the collection, use and storage of such information, which will be held in the United States and may be processed and stored by other StrataBlox companies around the world. 9. Disclaimer of Warranties

THE CONTENT AND FUNCTIONALITY ON THE SITE IS PROVIDED WITH THE UNDERSTANDING THAT StrataBlox IS NOT HEREIN ENGAGED IN RENDERING PROFESSIONAL ADVICE AND SERVICES TO YOU. ALL CONTENT AND FUNCTIONALITY ON THE SITE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. StrataBlox MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE OWNERSHIP, ACCURACY, OR ADEQUACY OF THE SITE CONTENT OR THAT THE FUNCTIONALITY ON THIS SITE WILL BE UNINTERRUPTED OR ERROR-FREE. 10. Indemnification

As a condition of your use of this Site, you agree to indemnify, defend and hold StrataBlox, our officers, directors, employees, agents and representatives harmless from and against all claims, damages, losses, costs (including reasonable attorneys fees), or other expenses that arise directly or indirectly out of or from (a) your violation of the Terms; (b) your use of the Site; or (c) your violation of the rights of any third party.

StrataBlox may provide links to third-party websites, and some of the content appearing to be on this Site is in fact supplied by third parties. StrataBlox does not endorse and has no responsibility for the availability or content of these third-party websites, which are governed by these Terms and privacy policies, if any, of the applicable third-party content providers. StrataBlox shall have no liability or responsibility, directly or indirectly, for any damage or loss caused or alleged to be caused by the use or reliance on any content, goods or services available on or through such site.

12. General Terms

Governing Law; Jurisdiction: These Terms are governed by the laws of the State of New York without reference to the principles of conflicts of laws thereof. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of New York, County of New York with respect to all disputes arising out of or related to these Terms. If any part of these Terms is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

Complete Agreement: These Terms set forth the entire understanding between you and StrataBlox and supersedes all prior versions of the Terms. If any provision of these Terms is declared void, or otherwise unenforceable, such provision shall be deemed to have been severed from these Terms which shall otherwise remain in full force and effect.

StrataBlox Library Terms of Use

The following StrataBlox Library Terms of Use (the “Terms”) govern use and access to the StrataBlox Library. By accessing the StrataBlox Library, you agree to these Terms. This site and all associated content are the property of StrataBlox, Inc. (“StrataBlox”). The Terms shall apply to all StrataBlox Library use regardless of how content is received or accessed, including via third party channels.

StrataBlox hosts web and virtual events with subject matter experts who are members of its network of industry professionals, consultants and other individuals (“Network Members” formerly known as Council Members) and non-Network Member speakers (the Network Member and non-Network Member speakers are collectively referred to herein as “Event Speakers”), with transcriptions, recordings and other associated materials on occasion (e.g., presentations) (collectively “Content”) made available to its clients for licensed use through the StrataBlox Library.

StrataBlox reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the StrataBlox Library following the posting of changes will mean that you accept and agree to the changes. In the event you have an agreement in place governing your access to and use of the StrataBlox Library (an “Agreement”), these Terms still apply. However, in the event of any conflict between these Terms and the Agreement, the terms of your Agreement shall govern.

Use: StrataBlox hereby grants to you, and you hereby accept, a revocable, nonexclusive and nontransferable license to access and use the StrataBlox Library for your internal business purposes only. You shall provide access to the Content only to your current employees. You may use and apply the concepts derived from the Content in your business, but you may not identify or quote Event Speakers, StrataBlox or the Content or any part thereof, or attribute insights or opinions to Event Speakers or StrataBlox without the prior written consent of StrataBlox. You shall take all precautions that are reasonably necessary to prevent any unauthorized distribution or redistribution of Content and protect the proprietary rights of StrataBlox and the Event Speaker (if applicable) in the StrataBlox Library or Content. You accept responsibility for, and acknowledge you exercise your own independent judgment with respect to your selection of any Content, your use thereof, and any results obtained therefrom. The Content shall not constitute investment, legal, tax or other advice or any recommendation of any nature.

You shall not modify, reverse-engineer, disassemble, or decompile Content, in any manner, in whole or in part. You shall not support or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins and add-ons, or any other technology) to scrape transcripts or input, or attempt to input, transcripts, information contained therein, or any other Content into any artificial intelligence, machine learning, large language models, algorithms, software, tool, database, or any other technologies without the prior written consent of StrataBlox.

For any Event Speakers you first encounter through the StrataBlox Library, you agree not to knowingly employ or engage them, directly or indirectly as a speaker, director or advisory board member, or for consulting of a similar nature to that available through StrataBlox without the involvement of or prior written permission from StrataBlox for a period of one year from the most recent StrataBlox Library access or introduction to such Event Speaker, or through the end of your commercial relationship with StrataBlox, whichever is later. For purposes of this paragraph, “introduction” to an Event Speaker shall mean the identification of such Event Speaker to you by virtue of your access to the StrataBlox Library.

Taxes: You acknowledge that any amounts invoiced may be subject to sales tax. You are solely responsible for all applicable sales, use, or similar taxes that may be due and owing related to your access to the StrataBlox Library.

Additional Terms: You agree and acknowledge that the Content is and shall remain valuable intellectual property owned by or licensed to StrataBlox and that no proprietary rights are being transferred to you in such materials or in any of the information contained therein. All Content is the Copyrighted property of StrataBlox, and all rights are reserved. You and StrataBlox shall comply with all laws applicable to use of the StrataBlox Library or Content, including without limitation, any export control laws. StrataBlox owns and may use StrataBlox Library usage information to build and improve StrataBlox’s business, products, marketing, and services. Further StrataBlox may share aggregated and anonymized usage information with third parties.

In no event shall StrataBlox be liable to you, or to any third party, for any lost profits, incidental, consequential, punitive, special, direct, or indirect damages arising out of or in connection with the StrataBlox Library, even if advised as to the possibility of such damages, regardless of whether the claim for such damages is based in contract, tort, strict liability or otherwise.

Disclaimer of Warranty: StrataBlox MAKES NO EXPRESS OR IMPLIED WARRANTIES RELATING TO THE StrataBlox LIBRARY, CONTENT OR OTHER MATTERS COVERED BY THESE TERMS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT, ACCURACY, SATISFACTORY QUALITY, OR THAT THE EVENT LIBRARY WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED, EXCEPT THAT StrataBlox HAS ALL REQUIRED AUTHORITY TO SHARE THE CONTENT WITH YOU.

Termination for Breach: StrataBlox may terminate your access to the StrataBlox Library effective immediately upon written notice to you if: (1) You fail to pay any portion of the fees due for access within ten (10) days after receiving written notice from StrataBlox that payment is past due; or (2) You breach any other provisions of these Terms and you fail to cure within thirty (30) days after receipt of written notice of such breach from StrataBlox.

Dispute Resolution: Any dispute, controversy or claim, whether in tort, contract or otherwise, that arises from or relates to these Terms, including whether the claims asserted are arbitrable (“Disputes”), shall be subject to the dispute resolution provisions set forth in your Agreement. In the event no such Agreement exists or said Agreement has no dispute resolution provision, any Disputes shall be exclusively and finally determined by a single-arbiter arbitration held in New York City under the rules of JAMS in effect from time to time. The Disputes shall be governed by laws of the State of New York, without regard to New York’s conflict of law rules, and the enforceability of this arbitration agreement shall be governed by the Federal Arbitration Act. The language to be used in the arbitral proceeding will be English. Judgment upon the award rendered by the arbitrator may be entered by any court having jurisdiction thereof. Arbitrations arising from the same or related Disputes may be consolidated in one arbitral proceeding.
